Patch Terms of Service

These Terms of Service (“Terms”) govern your use of services provided by Patch (“Patch,” “we,” “us,” or “our”). By purchasing or using our services, you agree to these Terms.
If you do not agree with these Terms, you should not use Patch services.
1. Services
Patch provides digital marketing and technology services for healthcare and local service businesses, including but not limited to:
- CRM implementation and setup
- Marketing automation systems
- Email marketing
- Google Ads management
- Search engine optimization (SEO)
- Website consulting and optimization
- Marketing strategy consulting
Services are delivered based on the scope outlined in your proposal, agreement, or onboarding documentation.
Patch may update or modify service offerings at any time.
2. Client Responsibilities
Clients are responsible for:
- Providing accurate business information
- Supplying necessary access to platforms (Google Ads, website hosting, CRM accounts, etc.)
- Responding to requests for information or approvals in a timely manner
- Ensuring compliance with all applicable laws and marketing regulations
Clients are fully responsible for the marketing messages, offers, and communications sent to their customers using systems built or managed by Patch.
Patch does not assume liability for the content of messages, advertisements, or promotions created or approved by the client.
3. Platform Responsibility
Patch often implements and works with third-party platforms such as:
- HubSpot
- Google Ads
- Email marketing software
- CRM systems
- Website hosting providers
Patch is not responsible for outages, policy changes, pricing changes, or service disruptions caused by third-party platforms.
Clients agree to follow the terms of service and policies of any third-party platform used in conjunction with Patch services.
4. Marketing Performance Disclaimer
While Patch applies proven marketing strategies, we do not guarantee specific results, including:
- Number of leads
- Cost per lead
- Search rankings
- Revenue outcomes
Marketing performance depends on many factors outside Patch’s control, including competition, budgets, market conditions, and business operations.
5. Payment Terms
Service fees are outlined in the client agreement or proposal.
Payments are typically billed monthly unless otherwise agreed.
Clients agree to:
- Maintain a valid payment method
- Pay invoices on time
- Cover any platform or advertising costs (such as Google Ads spend)
Failure to pay may result in service suspension.
6. Termination
Either party may terminate services with written notice.
Upon termination:
- Work already completed remains payable
- Access to systems built by Patch may be transferred or revoked depending on ownership structure
- Any ongoing ad campaigns or automation may be paused
Patch reserves the right to terminate service if a client engages in illegal activity, spam marketing, or behavior that violates platform policies.
7. Ownership of Work
Unless otherwise specified:
- Clients own the marketing assets created for their business
- Patch retains ownership of internal frameworks, systems, templates, and processes used to deliver services
Patch may reuse general frameworks and methodologies developed during the course of service.
8. Limitation of Liability
Patch shall not be liable for indirect, incidental, or consequential damages arising from the use of its services.
Total liability for any claim shall not exceed the amount paid to Patch for services during the previous three months.
9. Changes to Terms
Patch may update these Terms at any time. Continued use of our services after updates indicates acceptance of the revised Terms.
10. Governing Law
These Terms are governed by the laws of the state in which Patch operates.
